Vendor Terms & Conditions (No Refund Policy)
By submitting a vendor application and/or purchasing a vendor table or space, you agree to the following Terms & Conditions, including the NO REFUND policy.
1.Definitions
Organizer: The Card Syndicate Trade Show and its owners, staff, agents, and representatives.
Vendor: The individual or business purchasing Vendor Space at the Event.
Event: The specific Card Syndicate Trade Show event for which Vendor Space is purchased.
2.Vendor Eligibility & Application
2.1. Organizer reserves the right to approve or deny any vendor application for any reason.
2.2. Vendor represents that all information provided in the application is true and accurate.
2.3. Vendor must be at least 18 years of age or a legally registered business entity.
3.Payment Terms & No Refund Policy
3.1. Full payment is required to reserve Vendor Space. Reservations are not confirmed until payment is received and processed.
3.2. NO REFUNDS. ALL SALES FINAL.
Once Vendor purchases Vendor Space, no refunds, chargebacks, or partial refunds will be issued for any reason, including but not limited to:
- Vendor cancellation
- Schedule conflicts
- Weather conditions
- Travel issues
- Sales performance or lack of customer traffic
3.3. Transfers & Credits
Vendor Spaces are not automatically transferable to another person, business, or future event. Any transfer or credit, if allowed, is solely at the Organizer’s discretion and must be approved in writing by Organizer. Organizer is under no obligation to issue any transfer or credit.
3.4. Failure to attend the Event (no-show) will result in forfeiture of all fees paid. Vendor Space may be reassigned without notice and without any refund or credit.
4.Event Changes, Postponement & Cancellation
4.1. Organizer reserves the right to change the Event date, hours, venue, floor plan, or layout at any time.
4.2. If the Event is postponed or rescheduled, Vendor bookings will automatically transfer to the new date. No refunds will be issued due to postponement or rescheduling.
4.3. If the Event is cancelled in its entirety and not rescheduled, Organizer’s maximum liability to Vendor is limited to the amount actually paid by Vendor for Vendor Space. Organizer may, at its sole discretion, offer a refund or a credit toward a future event.
4.4. Organizer is not responsible for any additional costs incurred by Vendor, including but not limited to travel, lodging, shipping, or lost sales/profits.
5.Vendor Space Assignment & Use
5.1. Organizer will assign Vendor Spaces. Specific locations are not guaranteed, and Organizer may reassign spaces at any time in the best interest of the Event.
5.2. Vendor may not sublease, share, or sell all or part of their Vendor Space without written approval from Organizer.
5.3. Vendor must confine all displays, inventory, signage, and activities to the boundaries of their assigned space and must not block aisles, exits, or other vendors.
6.Setup, Breakdown & Event Hours
6.1. Setup and breakdown times will be communicated prior to the Event. Vendor agrees to follow all setup/breakdown instructions and schedules.
6.2. Vendor must be fully set up and ready by the start of public Event hours and must remain open until the conclusion of designated hours unless otherwise approved by Organizer.
6.3. Early breakdown or packing up before the Event ends is strongly discouraged and may affect Vendor’s eligibility for future events.
6.4. Vendor is responsible for removing all merchandise, trash, and personal property from their space at the end of the Event.
7.Merchandise, Sales & Conduct
7.1. Vendor is solely responsible for all merchandise brought to the Event, including authenticity, condition, and pricing.
7.2. Prohibited items may include, but are not limited to:
- Counterfeit or unlicensed goods
- Illegal items or substances
- Weapons or items reasonably perceived as dangerous
- Adult/explicit material accessible to minors
Organizer reserves the right to ask Vendor to remove any item deemed inappropriate or unsafe. Failure to comply may result in removal from the Event without refund.
7.3. Vendor must conduct themselves in a professional manner at all times. Harassment, discrimination, aggressive behavior, or disruption of the Event will not be tolerated and may result in immediate removal with no refund.
7.4. All sales, trades, promotions, and interactions between Vendor and attendees are strictly between those parties. Organizer is not a party to any transaction and assumes no responsibility for any disputes.
8.Licenses, Taxes & Legal Compliance
8.1. Vendor is responsible for obtaining any required business licenses, permits, or tax certificates required by local, state, or federal law.
8.2. Vendor is solely responsible for collecting and remitting any applicable sales or use tax on items sold at the Event.
8.3. Vendor agrees to comply with all applicable laws, ordinances, regulations, and venue rules.
9.Insurance & Liability
9.1. Vendor understands that Organizer does not provide insurance coverage for Vendor’s property or activities. Vendor is encouraged to carry their own liability and property insurance.
9.2. Vendor is solely responsible for any damage caused by Vendor, Vendor’s staff, or Vendor’s guests to the venue, event property, or other vendors’ property.
9.3. To the fullest extent permitted by law, Organizer shall not be liable for:
- Loss, theft, or damage to Vendor’s property
- Personal injury or death arising out of Vendor’s participation in the Event, except to the extent caused by Organizer’s gross negligence or willful misconduct.
10.Indemnification
Vendor agrees to indemnify, defend, and hold harmless Organizer, its owners, staff, volunteers, contractors, and the venue from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Vendor’s participation in the Event
- Vendor’s products, services, or representations
- Any act or omission by Vendor, Vendor’s employees, helpers, or guests
- Vendor’s violation of these Terms & Conditions or any applicable law.
11.Safety & Security
11.1. Vendor must follow all safety guidelines and instructions from Organizer and venue staff.
11.2. Organizer may remove any person or vendor from the Event if they are deemed unsafe, disruptive, or non-compliant with rules, without refund.
11.3. Vendor is responsible for the security of their own cash, inventory, and equipment. Organizer is not responsible for loss or theft.
12.Media, Photos & Recordings
12.1. Organizer and its partners may photograph, film, or otherwise record the Event for promotional, marketing, or documentation purposes.
12.2. By attending and vending at the Event, Vendor grants Organizer a non-exclusive, royalty-free license to use Vendor’s name, likeness, logo, and booth images in Event-related marketing and media, both online and offline, without further notice or compensation.
13.Miscellaneous
13.1. Organizer reserves the right to update or modify these Terms & Conditions at any time. The version in effect at the time of Vendor’s payment will apply to that Event.
13.2. If any provision of these Terms & Conditions is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.3. These Terms & Conditions constitute the entire agreement between Vendor and Organizer regarding Vendor’s participation in the Event and supersede any prior oral or written understandings.
14.Acknowledgment
By submitting payment and/or attending as a Vendor at The Card Syndicate Trade Show, Vendor acknowledges that they have read, understood, and agree to be bound by these Vendor Terms & Conditions, including the NO REFUND policy.
